Agnico-Eagle to acquire Cumberland Resources; transaction would increase gold production and reserve growth

Wednesday February 14, 6:46 am ET
Analyst and Investor Conference Call at 11:00 am EST Today

TORONTO, Feb. 14 /PRNewswire-FirstCall/ - Agnico-Eagle Mines Limited today announced that it has signed an agreement with Cumberland Resources Ltd. (TSX and AMEX: CLG, "Cumberland") under which Agnico-Eagle has agreed to make an exchange offer for all of the outstanding common shares of Cumberland not already owned by Agnico-Eagle. The Company currently owns 2,037,000, or 2.6%, of the outstanding shares of Cumberland on a fully diluted basis.

Cumberland owns 100% of the Meadowbank gold project, located in Nunavut. The project is currently under construction and has proven and probable reserves of 21.3 million tonnes, grading 4.2 grams per tonne, or 2.9 million ounces. Initial gold production is anticipated by Agnico-Eagle in early 2010. Annual gold production is estimated to average 400,000 ounces for the first four years and average 350,000 ounces per year over the life of the mine.

Terms of the Offer

    -   Exchange of 0.185 of an Agnico-Eagle common share for each  Cumberland share
    -   Represents a 28.8% premium to Cumberland's closing share price on February 13, 2007, or a 23.7% premium to the 20-day volume weighted average prices on the TSX for both companies from that date
    -   Values Cumberland at approximately C$710 million based on 80.0 million fully diluted common shares outstanding, and the closing price on February 13, 2007
    -   Transaction approved by the Boards of Agnico-Eagle and Cumberland
    -   Directors and Officers of Cumberland, representing approximately 10.5% of the fully diluted common shares outstanding, have agreed to tender their shares in an agreement with Agnico-Eagle

Highlights of the Offer

If the acquisition is completed, Agnico-Eagle expects:

    -   its proforma gold reserves to increase by 28% to 13.3 million ounces, 82% of which are located in Canada;
    -   its projected gold production to rise a further 39% in 2010 to approximately 1.3 million ounces;
    -   its proforma cash position to increase to over $550 million, with no additional funding expected to be required to build its pipeline of five development projects; and
    -   construction of the Meadowbank project to be supervised by Agnico-Eagle's Quebec based technical team

"The acquisition of Cumberland is expected to enhance our already significant gold production and reserve growth and is a logical next step in our strategy of building a premier international gold growth company. The transaction is expected to be accretive to our underlying net asset value, cash flow per share and reserves per share. Furthermore, we anticipate that the Meadowbank project's substantial reserve base will grow as we accelerate the exploration program in 2007," said Sean Boyd, Vice Chairman and Chief Executive Officer of Agnico-Eagle. "This offer enables Cumberland's shareholders to participate not only in the development of Meadowbank, but also in LaRonde's production and the development of Agnico-Eagle's current project pipeline of five gold mines," added Mr. Boyd.

Boas Paciente,

Fed's Bernanke's mon-policy testimony

Fed's Bernanke's mon-policy testimony: more of the same. Sees risk that inflation will not moderate as predominant concern, which argues for steady policy. Says core infl remains elevated but inflation pressures have abated and econ is making transition to "a more sustainable avg pace of growth." Future Fed policy to be based on "assessment of medium term econ prospects" and Fed "must be prepared to respond flexibly to developments." Thus, does not promise ease or tightening. Sees "tentative signs of stabilization" in housing, good biz & trade sectors.

Central tendencies: core PCE prices +2%-2.25% for 2007, same as decided in July (becomes +1.75%-2% in '08; real GDP +2.5%-3% vs the +3%-3.25% of July due to weak res. construction (and +2.75%-3% in '08).

Boas Paciente,

Daqui a pouco fala o Bush.

Vamos acompanhando...
"In the absence of the gold standard, there is no way to protect savings from confiscation through inflation."

Hoje o Cartel ganhou a batalha!

Amanhã o Ben Bernanke volta a discursar, agora perante o House Financial Services Committe.

3. A GSS fechou finalmente acima dos $3,75 e do anterior máximo relativo ($3,89). Fecho no máximo da sessão nos $3,92.

U.S. DATA: U.S. Tsys December TICS report shows net foreign purchases of long-term securities a very modest $15.6 bn, falling far short of the amount needed to cover the December trade gap.

Forte intervenção no mercado cambial!

Gold futures retreat after two-session win
World Gold Council reports record gold demand during 2006

SAN FRANCISCO (MarketWatch) -- Gold futures fell Thursday following a gain of nearly $5 an ounce in the past two sessions, but prices managed to recoup much of the day's losses by the session's close as traders digested news of record gold demand in 2006, with a wary eye on the dollar's outlook and a mixed batch of U.S. economic data.
"Gold prices have been testing and probing this $670-$675 per ounce level now for a week.," said Neal Ryan, director of economic research at Blanchard.
"When you see gold test and retest a certain upside support over a week period, prices are eventually going to break one way or another and it's our believe that the break will be to the upside, especially in light of the methodical $70 increase we've seen in gold the last month since we called a bottom Jan. 5th," he said, in e-mailed comments.
Gold for April delivery closed down 60 cents at $671.40 an ounce on the New York Mercantile Exchange, bouncing back a bit after reaching a low of $666.50 during the session. The contract tallied a total gain of $4.70 between Monday and Wednesday.
Other metals prices mostly followed gold lower. However, March copper gained 3.4%, rallying 8.7 cents to close at $2.664 a pound after having touched a one-month high of $2.69.
Expectations for stronger demand from China fueled copper's price rally, said Perrine Faye, an analyst at BaseMetals.com, in a note Thursday.
March silver closed slightly lower at $13.962 an ounce. April platinum lost 20 cents to end at $1,216.90 an ounce, while March palladium dropped $3.05 to close at $342.80 an ounce.
"This hesitation in gold has taken place despite a series of seemingly auspicious news for the precious metal," said Jon Nadler, an investment-products analyst at bullion dealers Kitco.com.
"The sharply lower industrial production and capacity utilization numbers point to contraction in the economy and the more worrisome news of net capital outflows amid a steep decline in fresh inflows has to have dollar bulls on the run once more," he said, in e-mailed commentary.
"Perhaps the news offset each other, as lower economic growth might dampen metals demand, while a declining currency would certainly stimulate it," Nadler said.
Demand up, supply down
Looking ahead, "the dollar, oil prices, inflationary pressures, Fed and ECB rate decisions, etc. will be what causes [gold] price fluctuations on a daily basis, but it's the new reality of a different supply/demand equation in the precious metals markets that will keep prices moving up from left to right on a long term chart," said Ryan.
Ryan points out that a report shows that gold production in Zimbabwe fell in 2006, down 50% since 2004.
"Zimbabwe isn't a particularly large producing gold country, but combine that with news from South Africa that has shown monthly year-on-year declines of 12.4% in December, 7.6% in November, 5.5% in October, and 5% in September -- along with declines in Australia, Peru, Chile, Indonesia, etc. and you begin to get an appreciation for the larger picture," he said.
"Gold could go to $1,000 per ounce and these countries and companies couldn't pull one more ounce out of the ground than they are currently," he said. "I believe that we reached a peak production in the late 90s that will possibly be matched in some years, but never eclipsed."
Meanwhile, demand for gold in 2006 was a record $65.3 billion, despite a fall in tonnage and reduced supply, according to figures released by the World Gold Council on Wednesday.
Industrial demand was the highest ever at 458 tons, and investment demand was 7% higher than in 2005 in tonnage terms and 45% higher in dollar terms, said the World Gold Council, an advocacy organization funded by the world's leading gold miners.
Supply fell 13% in tonnage terms, including a sharp reduction in net selling by central banks. Jewelry sales were also at an all-time record in dollar terms at $44 billion, although jewelry demand fell back by 16% in tonnage terms due to a volatile gold price in the first half of the year.
"Prospects for both jewelry and investment demand in the first half of the year are good, although any return of excessive price volatility could hinder jewelry purchases," the World Gold Council said.
Crude, dollar lose ground
Elsewhere on the commodity markets, crude-oil futures touched their lowest levels in more than two weeks, then recovered to close nearly unchanged after data this week showed smaller-than-expected declines in U.S. heating fuels despite the cold snap last week. See full story.
In currencies trading, the dollar fell to a more than one-month low against the yen after U.S. government reports showed a mixed picture about the economy and the first net capital outflow for a year and a half. See full story. A decline in the greenback this week had boosted demand for gold.
U.S. monthly capital flows reversed in December to an outflow for the first time since June 2005, the Treasury Department reported. The U.S. recorded an outflow of $11 billion in December, compared with an inflow of $70.5 billion in November, the Treasury said. See full story.
On the supply side, gold inventories were unchanged at 7.49 million troy ounces as of late Wednesday, according to Nymex data. Silver supplies were unchanged at 115.44 million troy ounces, while copper stockpiles dropped 22 short tons to 35,881 short tons.
